Welcome to R2B Olein ("the Platform"), operated at R2Bolein.com. These Terms & Conditions ("Terms") govern your access to and use of the Platform as a registered Refinery or Buyer ("Member," "you"). By registering an account, you agree to be bound by these Terms in full.
1. Nature of the Platform
R2B Olein is a digital connection platform exclusively. We facilitate introductions between verified palm olein refineries and verified importers/buyers. We do NOT act as a buyer, seller, agent, broker, trader, or party to any trade transaction. We do not manufacture, own, ship, inspect, or take title to any goods listed on the Platform.
2. Eligibility
The Platform is exclusively reserved for genuine palm olein refineries and genuine importers/buyers. Registration by traders, agents, brokers, or intermediaries misrepresenting their business type is strictly prohibited and will result in account suspension or termination without refund.
3. Account Registration & Accuracy
You agree that all information provided during registration is accurate, complete, and current. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately at Connect@R2Bolein.com of any unauthorized use of your account.
4. Fees & Payment
- Refinery accounts: subject to the annual registration fee and per-SKU submission fee as displayed on the Platform at the time of registration, subject to any Early Bird promotional waivers then in effect.
- Buyer accounts: subject to the annual registration fee and per-Connect fee as displayed on the Platform at the time of registration, subject to any Early Bird promotional waivers then in effect.
- All fees are subject to change with reasonable prior notice. Fees already paid are non-refundable.
- Wallet balances (once the Wallet feature is active) are prepaid and used solely to cover Platform fees; they do not constitute a deposit, investment, or financial instrument, and are non-transferable to any other party.
5. Non-Refundable Fees
All fees paid to R2B Olein — including but not limited to annual Registration Fees, SKU Price Submission fees, and Buyer Connect fees — are strictly non-refundable and non-adjustable under any circumstances. This applies equally whether an account is closed voluntarily by the Member, or closed, suspended, or terminated by R2B Olein Administration for any reason, including but not limited to a breach of these Terms. Any remaining unused free credits, wallet balance, or annual membership period at the time of closure are forfeited and cannot be exchanged for a cash refund, credit, or any other form of compensation. Members are encouraged to utilize their remaining paid services before requesting account closure.
6. No Liability for Trade Disputes
R2B Olein bears no responsibility or liability for any dispute, disagreement, loss, damage, fraud, non-payment, non-delivery, quality discrepancy, or any other issue arising between a Buyer and a Refinery. Any and all such disputes are solely between the transacting parties. We are not a party to, and assume no responsibility for, the negotiation, formation, or performance of any trade contract between Members.
7. No Warranty on Listings or Information
We make no warranty, express or implied, regarding the accuracy, completeness, reliability, or fitness of any product specification, price, certification, or document shared by any Member on the Platform. Members are solely responsible for independently verifying each other's identity, legal registration, financial standing, product quality, and compliance with applicable laws before entering into any transaction.
8. No Escrow or Payment Facilitation
R2B Olein does not hold, process, guarantee, or take responsibility for any payments, Letters of Credit, bank guarantees, or other financial instruments exchanged between Members. All such financial transactions occur exclusively and directly between the Buyer and Refinery.
9. Compliance with Laws
Each Member agrees to comply fully with all applicable local, national, and international laws governing trade, import/export, food safety, customs, taxation, anti-money laundering, and sanctions. We are not liable for any Member's breach of applicable law.
10. Prohibited Conduct
Members must not: misrepresent their business type or identity; use the Platform to circumvent applicable trade sanctions; submit false, fraudulent, or misleading listings; attempt to extract, scrape, or resell Member data obtained through the Platform for purposes other than legitimate direct trade; or attempt to circumvent the Platform's Connect/fee mechanism.
11. Account Suspension & Termination
We reserve the right to suspend, restrict, or permanently terminate any account, at our sole discretion, without prior notice and without liability, if we reasonably believe a Member has violated these Terms, misrepresented information, or engaged in fraudulent or harmful conduct.
12. Intellectual Property
The Platform's design, branding, logo, and software are the property of R2B Olein and may not be copied, reproduced, or used without written permission. Product images displayed are illustrative samples only and do not represent an ownership claim over any Member's actual branded product packaging.
13. Limitation of Liability
To the maximum extent permitted by applicable law, R2B Olein, its owners, and operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from or related to your use of the Platform, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising from your use of the Platform shall not exceed the total fees you paid to us in the twelve (12) months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless R2B Olein, its owners, and operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of applicable law, or any trade dispute with another Member.
15. Force Majeure
R2B Olein shall not be liable for any failure or delay in service caused by circumstances beyond our reasonable control, including war, natural disasters, pandemics, cyberattacks, government actions, or internet/infrastructure outages.
16. Governing Law & Jurisdiction
These Terms shall be governed by the laws of Pakistan. Any dispute arising from these Terms or use of the Platform shall be subject to the exclusive jurisdiction of the competent courts of Pakistan - Karachi.
17. Amendments
We reserve the right to amend these Terms at any time. Continued use of the Platform after any amendment constitutes acceptance of the revised Terms. Material changes will be communicated via email where reasonably practicable.
